Notice Concerning Dissolution of a Subsidiary

Honda International Finance B. V. (the “Subsidiary”), which is a consolidated subsidiary of Honda Motor Co., Ltd. (the “Company”), decided today as follows with respect to dissolving itself.

Description of Business:		Raising funds and financing the Company’s subsidiaries and affiliates

2.	Reason for the Dissolution

The Company decided to dissolve the Subsidiary since the Subsidiary has already terminated its business operation and there is no plan to resume its business.

Schedule

The dissolution is intended to be resolved by the shareholder of the Subsidiary by the end of March 2008.

The liquidation is intended to be completed by the end of December 2008.

 

4.	Impact on consolidated financial results of the Company

The impact on consolidated financial results of the Company will be immaterial.
