PART III — NARRATIVE

State below in reasonable detail why forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra Sheets if Needed)

The Registrant will be unable to file its Annual Report on Form 10-K for the fiscal year ended December 29, 2007 by the deadline without unreasonable effort or expense. The delay in completing the financial statements is due to the additional work required to complete the financial statements in light of the two significant divestitures made by the Registrant during fiscal 2007, the most recent of which occurred on the last day of the fiscal year. During fiscal 2007, the Registrant sold its Royal Robbins apparel division and Altama military boot division. The Registrant is in the process of completing its financial statements and anticipates that the Form 10-K will be filed on or before the 15th calendar day following the prescribed due date of the Registrant’s Form 10-K.
