ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On May 8, 2008, Warner Music Group Corp. (the “Company”) issued an earnings release announcing its results for the quarter ended March 31, 2008, which is furnished as Exhibit 99.1 hereto.

 

ITEM 7.01. REGULATION FD DISCLOSURE.

ITEM 8.01. OTHER EVENTS.

On May 8, 2008, the Company announced in its earnings release that the Company has discontinued its previous policy of paying a regular quarterly dividend. On February 29, 2008, the Company paid its final quarterly dividend of $0.13 per share under the now discontinued policy. The Company currently intends to retain future earnings to build cash on the balance sheet and invest in its business, particularly in A&R. Any future determination to pay dividends will be at the discretion of the Company’s Board of Directors and will depend on, among other things, the Company’s results of operations, cash requirements, financial condition, contractual restrictions and other factors the Board of Directors may deem relevant.
