Item 1.01. Entry into a Material Definitive Agreement.

On February 21, 2012, Power Integrations International, Ltd. (“PI”), a wholly owned subsidiary of Power Integrations, Inc., a Delaware corporation, and Seiko Epson Corporation, a Japanese corporation (“Epson”), entered into Amendment Number Three to the Wafer Supply Agreement between PI and Epson, dated as of April 1, 2005, as amended on January 5, 2011 (the “Agreement”), which amends the pricing terms of the Agreement as of February 1, 2012.
