Item 5.07. Submission of Matters to a Vote of Security Holders.

(d) CVS Caremark Corporation held its Annual Meeting of Stockholders on May 11, 2011. The matters voted upon, each of which is described in the 2011 Proxy Statement filed on March 30, 2011, and the results of the voting were disclosed in the Form 8-K filed with the Commission on May 13, 2011.

In connection with the Proposal Regarding the Frequency of Advisory Votes on Executive Compensation, as recommended by the Company’s Board of Directors, the Company’s stockholders voted in favor of holding such an advisory vote annually. Accordingly, the Company’s Board of Directors has determined that the Company will hold an advisory vote on executive compensation on an annual basis until the next required vote on the frequency of advisory votes on executive compensation.
