On August 22, 2013, director Martha M. Mitchell informed Cracker Barrel Old Country Store, Inc. (the “Company”) that she does not intend to stand for election to the Company’s Board of Directors when her term expires as of the Company’s 2013 annual meeting of shareholders. Ms. Mitchell will continue to serve as a director until that time. Ms. Mitchell’s decision to retire as of the end of her current term is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
