Appointment of Director
On April 22, 2014, the Board of Directors (the “Board”) of Installed Building Products, Inc. (the “Company”) appointed Robert H. Schottenstein to serve as a Director of the Company. Mr. Schottenstein will also serve as a member of the Audit Committee of the Board.
There are no arrangements or understandings between Mr. Schottenstein and any other persons pursuant to which he was selected as a director and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
A press release announcing the election of Mr. Schottenstein was issued on April 22, 2014, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
