Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 4, 2015, Nancy J. Wysenski was appointed as a director of our company. Nancy J. Wysenski brings extensive health care experience and proven leadership in managing growth-oriented companies. Ms. Wysenski is a director of Alkermes PLC and Tetraphase Pharmaceuticals. She has recently served as a director of Reata Pharmaceuticals, a privately held pharmaceutical company. From December 2009 through June 2012, Ms. Wysenski served as the Executive Vice President and Chief Commercial Officer of Vertex Pharmaceuticals Incorporated, a publicly traded pharmaceutical company where she led the effort to build the commercial infrastructure and launch Incivek and Kalydeco. Prior to joining Vertex, Ms. Wysenski held the position of Chief Operating Officer of Endo Pharmaceuticals, a 1,200-person specialty pharmaceutical company, where she led sales, marketing, commercial operations, supply chain management, human resources and various business development initiatives. Prior to her time at Endo, Ms. Wysenski participated in the establishment of EMD Pharmaceuticals, Inc., where she held various leadership positions, including the role of President and Chief Executive Officer from 2001 to 2006 and Vice President of Commercial from 1999 to 2001. From 1984 to 1998, Ms. Wysenski held several sales-focused roles at major pharmaceutical companies, including Vice President of Field Sales for Astra Merck, Inc.

Ms. Wysenski was also appointed as a member of the Nomination and Corporate Governance Committee of our board.

On March 5, 2015, Ms. Wysenski was granted an option to purchase 18,750 shares of the Company’s common stock at an exercise price of $7.56 per share. Ms. Wysenski will also receive the same cash and equity compensation that is paid to our other outside directors for their service as directors and as members of board.
