The Annual Meeting of Shareholders of American Electric Power Company, Inc. will be held on Tuesday April 25, 2017, at 9:00 a.m. Eastern Time, the Clay Center, 1 Clay Square, Charleston, West Virginia.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends that you vote FOR all the nominees listed and FOR Proposals 2, 3 and 4 and 1 YEAR for Proposal 5:

 

     1.    Election of the following Directors:

        Linda A. Goodspeed    Thomas E. Hoaglin    Sandra Beach Lin    Richard C. Notebaert

     2.    Reapproval of the material terms of the American Electric Power System Senior Officer Incentive Plan.
     3.    Ratification of the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2017.
     4.    Advisory approval of the Company’s executive compensation.
     5.    Advisory vote on the frequency of holding an advisory vote on executive compensation.
