As previously announced, David S. Graziosi was appointed President and Chief Executive Officer of Allison Transmission Holdings, Inc. (the Company) and G. Frederick Bohley III was appointed Vice President, Chief Financial Officer and Treasurer of the Company effective June 1, 2018.
On May 29, 2018, the Compensation Committee of the Companys Board of Directors approved the following elements of compensation in connection with Mr. Bohleys appointment: (1) a base salary of $375,000, (2) an annual bonus opportunity under the Companys annual incentive compensation program of 100% of base salary for target-level performance and 250% of base salary for maximum-level performance, and (3) the following equity awards issued under the Companys 2015 Equity Incentive Award Plan (the 2015 Plan), each with an effective grant date of June 1, 2018: (a) 1,653 restricted stock units (RSUs) that will vest in full on the third anniversary of the grant date; (b) 4,959 stock options that will vest in full on the third anniversary of the grant date; and (c) up to 3,306 performance units that will be earned based on the Companys relative total stockholder return as compared to its industry peer group for the performance period 2018-2020.
The 2015 Plan and the forms of award agreements for RSUs, stock options and performance units are listed as exhibits to the Companys Annual Report on Form 10-K for the year ended December 31, 2017 filed with the Securities and Exchange Commission on February 15, 2018 (the Form 10-K).
The Compensation Committee also approved, and the Company entered into, a change in control severance agreement with Mr. Bohley in substantially the same form as the form change in control severance agreement entered into with our other named executive officers, other than David Graziosi, which is listed as an exhibit to the Form 10-K.
