MINUTES OF THE MEETING HELD BY THE FISCAL COUNCIL

ON APRIL 17th, 2012

 

 

1.            DATE, TIME AND VENUE: April 17th, 2012, at 9 a.m., at the headquarters of Companhia Brasileira de Distribuição (“Company”), at Avenida Brigadeiro Luís Antônio, 3.142, in the city and state of São Paulo.

 

2.            MEETING BOARD: Chairman: Fernando Maida Dall Acqua; Board Secretary: Renata Catelan P. Rodrigues

 

3.            CALL NOTICE AND ATTENDANCE: Fernando Maida Dall’Acqua, Mario Probst and Raimundo Lourenço Maria Christians. Also present José Antônio de Almeida Filippo and Claudecir Miranda as representatives of the management of the Company, and the representatives of the External Auditing – Ernst & Young Terco Auditores Independentes.

 

4.            AGENDA:  Analysis and discussion of the Form 20-F and Ernst & Young Terco Auditores Independentes’ presentation about the results of the integrated audit of the financial statements and internal control of the Company related to the fiscal year ended on December 31, 2011.

 

5.            RESOLUTIONS: After the meeting was convened, the Fiscal Council members examined the Agenda and resolved by unanimous vote:

  

5.1.      Analyzed the Form 20-F of the Company, being clarified all doubts of the members of the Fiscal Council by the officers of the Company and by the independent auditors. Completed the analysis and discussion, the members of the Fiscal Council issued the following opinion: OPINION OF THE FISCAL COUNCIL: The Fiscal Council, in fulfillment of the legal and by-laws statements, examined the Form 20-F of the Company, attached hereto. Based on such analysis, in the conference of the independent auditor, resolved the differences, and considering the explanations given by the officers of the Company, is of the opinion that the documents adequately reflect the information that it contains and are able to be submitted to the Board of Directors for analysis and approval.

 


 

 

 

5.2.      Received  the Ernst & Young Terco Auditores Independentes’ memorandum about the results of the integrated audit of the financial statements and internal control of the Company related to the fiscal year ended on December 31, 2011.

 

APPROVAL AND EXECUTION OF THE MINUTES: With nothing further to come before the board, the works were adjourned for these minutes to be drafted.
