Item 8.01 Other Events.

On July 10, 2009, Alaska Communications Systems Group, Inc. reconvened its 2009 Annual Meeting which was adjourned on June 12, 2009. Proposals 1 - 5, as detailed in the Company’s definitive Schedule 14A and further clarified in the additional proxy soliciting materials (definitive) Schedule A14A filed on June 23, 2009 and July 9, 2009, each passed with shareholder approval. The press release regarding this matter is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
