Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On December 21, 2015, in accordance with the applicable provisions of the respective employment agreements, each dated as of June 6, 2010, between The KEYW Corporation (the “Company”) and each of Mark A. Willard and Kimberly J. DeChello (each an “Executive”), (each agreement, as amended, an “Employment Agreement”), the Company provided notice that the terms of each Employment Agreement would not be extended beyond the existing term ending February 28, 2017. The Employment Agreements will continue in effect until February 28, 2017 unless otherwise terminated in accordance with the terms of such agreements. The Company is currently undergoing an effort to standardize the form of its key executive and senior management agreements, and intends to enter into discussions with the Executives and other executive officers of the Company with respect to new executive employment agreements in the next several months.
