Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 13, 2018, Michael Epps, Executive Vice President of Prosperity Bancshares, Inc. (the “Company”) and Senior Executive Vice President/Financial Operations and Administration of Prosperity Bank (the “Bank”), announced that he will retire from his positions with the Company and the Bank effective March 2, 2018.

 

Robert Dowdell, Executive Vice President of the Company and the Bank, will assume certain of Mr. Epps’ responsibilities until a permanent replacement is named.  Mr. Epps and Mr. Dowdell will work closely together in order to effect the transition.
