On April 17, 2018, Prosperity Bancshares, Inc. (the "Company") held its Annual Meeting of Shareholders to consider and act upon the items listed below:

James A. Bouligny, W.R. Collier, Robert Steelhammer and H.E. Timanus, Jr. were elected as Class II directors to serve on the Board of Directors of the Company until the Company’s 2021 Annual Meeting of Shareholders and until their successors are duly elected and qualified, or until their earlier resignation or removal.
