On August 8, 2017, Wayfair Inc. (the "Company") issued a press release announcing its financial results for the quarter ended June 30, 2017. A copy of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 4, 2017, Nicholas Malone notified the Company of his decision to resign from his position as the Company’s Chief Administrative Officer and Treasurer in order to become the Chief Financial Officer of a local venture-backed company. Mr. Malone has been with the Company since 2005. Mr. Malone's resignation will be effective August 18, 2017.
