Item 1.01.         Entry Into a Material Definitive Agreement.

             Intergraph Corporation (the "Company") announced a Patent License Agreement (the "Agreement") with Sony Corporation, Japan, effective March 24, 2006.  Under the terms of the Agreement, Sony will make a one-time, up-front royalty payment of $15 million.  As a result of the Agreement, Sony will obtain a fully paid-up worldwide license to the Company's patent portfolio, and the Company will obtain an option to license certain Sony patents on royalty-bearing terms. 

             The foregoing summary of the Agreement is not complete and is qualified in its entirety by reference to the Agreement, which is filed as Exhibit 10.1 and incorporated by reference herein.
