Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
 
On September 4, 2008, Amir Rosenthal, Vice President, Chief Financial Officer, General Counsel and Secretary, advised Katy Industries, Inc. (the “Company”) that he will resign from his position to pursue another opportunity, effective the close of business September 30, 2008.  His resignation is not due to any disagreements with the Company.
