Item 3.01  Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
By letter dated April 27, 2012, the NYSE Amex LLC (the “Exchange”) notified Arrhythmia Research Technology, Inc. (the "Company") that it had regained compliance with certain of the Exchange's continued listing standards as set forth in Sections 134 and 1101 of the Exchange's Company Guide (the “Company Guide”).
On April 30, 2012, the Company issued a press release regarding the notice.  A copy of the Company's press release is attached hereto as Exhibit 99.01.
