ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

     On January 22, 2004, Helmerich & Payne, Inc. (“Registrant”) issued a press release announcing its financial results for its first quarter ended December 31, 2003. A copy of the press release is attached as Exhibit 99 to this Report on Form 8-K.
