(d) On March 13, 2008, Alex J. Mandl was elected to the registrant’s Board of Directors. The
registrant’s press release relating to the foregoing is attached hereto as Exhibit 99.1 and is
incorporated herein by reference. Mr. Mandl has been appointed to the Audit and Finance Committees
of the Board. Mr. Mandl will receive an annual board retainer paid equally in cash and stock
units, each as described in the registrant’s 2007 proxy statement.
