Item 2.02. Results of Operations and Financial Condition

     Goodrich Petroleum Corporation (the “Company”) issued a press release on May 6, 2009, containing financial and operational results for the first quarter of 2009. A copy of the Company’s press release announcing the financial results is attached as Exhibit 99.1 to this current report on Form 8-K.

     The Company held an earnings conference call on May 7, 2009 to discuss first quarter 2009 operations and earnings. A copy of the transcript of the earnings conference call is attached as Exhibit 99.2 to this current report on Form 8-K.
