                                    NARRATIVE

     State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR
or the transition report portion thereof could not be filed within the
prescribed time period. (Attach extra sheets if needed.)

     The Registrant has experienced significant delays in preparing its Form
10-Q for the period ended September 29, 2002, which could not have been avoided
without unreasonable effort or expense due to the following factors:

     (i)  After the end of the third quarter, the Company determined that a
          significant charge against earnings was necessary relating to the
          impairment of the Company's investment in an unconsolidated subsidiary
          and the Company encountered significant difficulty and delays in the
          calculation of the specific amount of such impairment; and

     (ii) The Company engaged a new independent accounting firm at the end of
          the third quarter and encountered unusual delays in the process of
          preparing the Form 10-Q resulting from familiarizing such accounting
          firm with the Company's personnel, accounting systems, historical
          transactions, and contractual arrangements.

Rules and Regulations under the Act. The information contained in or filed with
