ITEM 2.02: RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

     On May 4, 2005, Symantec Corporation (the “Registrant”) issued a press release announcing results for the fiscal quarter ended April 1, 2005. A copy of the press release is attached as Exhibit 99.1.
