Item 8.01 — Other Events.
     On March 20, 2006, the Company issued a press release announcing that it had reached agreements in principle to resolve the purported class action lawsuits filed in Texas and Oklahoma (In Re: UICI Shareholder Litigation, pending in the District Court of Dallas County, Texas, E-101st Judicial District, Consolidated Cause No. 05-09693, and Scott v. UICI, et al. pending in the District Court of Oklahoma County, State of Oklahoma, Case No. CJ-2005-7731) relating to the pending acquisition of UICI by a group of private equity firms. A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated herein by reference.
