     9278 Communications, Inc. (the "Company") is not able to file its Quarterly
Report on Form 10-Q for the three-month period ended March 31, 2002 on or prior
to May 15, 2002, because the Company's independent auditors have not issued
their report on the Company's financial statements for the year ended December
31, 2001 which has made it impossible to compile the necessary financial
information on a timely basis and without unreasonable effort or expense.

has not been filed yet as a result of the delay in the issuance of the auditor's
report to be contained therein.
