Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Pursuant to the terms of the employment agreement dated as of November 18, 2005 by and between American Railcar Industries, Inc. (the “Company”) and James J. Unger, the President and Chief Executive Officer of the Company (the “Employment Agreement”), on January 22, 2008, the Compensation Committee of the Board of Directors of the Company (the “Board”) extended the term of Mr. Unger’s Employment Agreement for another year, through January 24, 2009. All other arrangements under the existing Employment Agreement will continue unchanged.
